1. Acceptance of Terms
By accessing or using the WaveGrid website, demos, or trial experiences, you agree to these Terms of Use. If you do not agree, do not use the website or service.
Paid customer use of WaveGrid is governed by a separate Master Services Agreement, Subscription Agreement, order form, and where applicable, a Business Associate Agreement (BAA). If there is a conflict, those agreements control for paid customer services.
2. Who We Are
"WaveGrid," "we," "us," and "our" refer to Wattson, Inc., the provider of the WaveGrid patient journey orchestration platform and related website.

3. Eligibility
You must be able to form a binding contract and comply with applicable laws to use the website and service. If you use WaveGrid on behalf of an organization, you represent that you have authority to bind that organization.
4. Website Use License and Restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the website for lawful business evaluation purposes.
You may not:
- Copy, reproduce, republish, or create derivative works from website content except as allowed by law.
- Scrape, crawl, or harvest website content or data using automated means without prior written permission.
- Reverse engineer, decompile, or attempt to discover source code or non-public functionality.
- Interfere with platform integrity, bypass access controls, or disrupt network operations.
- Use the website or service for unlawful, deceptive, or harmful purposes.
5. Accounts
Certain service features require authenticated customer accounts. You are responsible for maintaining account credential confidentiality and for activities under your account. Notify us promptly of suspected unauthorized access.
6. Trials and Betas
We may offer pilot, trial, preview, or beta features. These offerings may be modified, suspended, or discontinued at any time, may have limited support, and may not include all controls available in generally released offerings.
7. Service-Specific Terms
WaveGrid supports AI-enabled patient journey workflows, including voice, SMS, email, web, scheduling, rescheduling, confirmations, waitlist offers, warm handoffs, optional embeddable booking widgets, optional telephony/provider connection workflows, and optional scribe/encounter documentation features.
- Customer responsibility: Customers are responsible for workflow configuration, consent language, escalation rules, and compliance settings in their environment.
- Communications: Customers are responsible for obtaining and maintaining required voice/SMS/email permissions and honoring opt-out requests where required.
- Recording and transcription: Call recording/transcription and visit audio transcription may be enabled by customer configuration; customers are responsible for required disclosures and consent flows.
- Delivery dependency: Message and call delivery may depend on third-party carriers, telephony, internet, and recipient devices, and is not guaranteed.
- Not medical advice: WaveGrid supports operational workflows and documentation support; it does not provide medical diagnosis, treatment, or clinical judgment.
8. Intellectual Property
WaveGrid, the website, and associated software, content, branding, and documentation are owned by us or our licensors and protected by intellectual property laws.
Customer Data remains owned by the customer or its licensors. You grant us the rights needed to host, process, transmit, and display Customer Data to provide the service.
If you provide feedback, suggestions, or ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for product and business purposes.
9. Acceptable Use Policy
You may not use the website or service to:
- Send unlawful, fraudulent, defamatory, or abusive content.
- Transmit malware, spam, or content that could harm systems or users.
- Attempt to access PHI or other sensitive information without authorization.
- Perform penetration testing, vulnerability scanning, or load testing without our prior written approval.
- Violate communications, privacy, healthcare, or consumer protection laws.
10. Confidentiality
You may receive non-public information about our service. You agree to use it only for permitted evaluation or service use and to protect it with reasonable care. Customer confidentiality obligations for paid engagements are governed by separate agreements.
11. Third-Party Services and Links
WaveGrid may integrate with third-party services (for example telephony, SMS/email delivery, scheduling, EHR/PM systems, and external links). Third-party services are governed by their own terms and privacy policies, and we are not responsible for third-party products or content.
12. Disclaimers
The website is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, to the fullest extent permitted by law.
Service warranties, if any, are provided only in the applicable customer agreement. We do not warrant uninterrupted or error-free operation, or that all workflows, integrations, messages, and outcomes will always perform as expected in every environment.
13. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
For website use, our aggregate liability arising out of or related to these Terms will not exceed the greater of USD $100 or the amount you paid us for the specific service giving rise to the claim in the twelve (12) months before the event. For paid services, liability limits are governed by the controlling customer agreement.
Counsel review note: Liability limitations may need jurisdiction-specific and contract-specific customization before publication.
14. Indemnification
You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the website or service, your violation of these Terms, or your violation of applicable law.
15. Termination
We may suspend or terminate access to the website or trial services at any time if we reasonably believe these Terms or law have been violated, or if continued access creates security, legal, or operational risk.
You may stop using the website at any time. Provisions that by nature should survive termination will survive, including intellectual property, confidentiality, disclaimers, liability limits, and indemnification.
16. Governing Law and Venue
These Terms are governed by the laws of Delaware, without regard to conflict-of-law rules. Any dispute arising under these Terms will be brought in the state or federal courts located in Delaware, and each party consents to that jurisdiction and venue.

17. Changes to Terms
We may update these Terms periodically. We will post the revised Terms and update the "Last Updated" date. Your continued use after changes become effective constitutes acceptance of the revised Terms.
